Code of Conduct
1. Purpose and Scope
Acemax Renovation Corp. (the “Company”) is a general contractor providing renovation, construction, and general repair services to commercial and residential clients across Ontario. The Company is committed to conducting its business, and expects its subcontractors, trades, suppliers, vendors, and service providers (collectively, “Suppliers”) to conduct their business, with integrity, safety, quality, and respect for people and the environment.
This Supplier Code of Conduct (the “Code”) sets out the minimum standards the Company expects of every Supplier engaged on its projects, regardless of trade, scope, or contract value. It is intended to be read together with each Supplier's subcontract or purchase order, project-specific safety plans, and all applicable law. Where the terms of a subcontract are more stringent than this Code, the subcontract governs.
Suppliers must comply with this Code themselves and must take reasonable steps to ensure that their own employees, agents, and lower-tier subcontractors also comply with it. Suppliers must comply with all applicable municipal, provincial, and federal laws in Ontario and Canada, including but not limited to those referenced throughout this Code.
This Code applies at every tier of the supply chain. A Supplier that engages its own subcontractors or suppliers to perform any part of the work for Acemax Renovation Corp. remains responsible for ensuring those parties uphold the same standards.
This Code applies regardless of a Supplier's location, including Suppliers and sub-suppliers based or operating outside Canada. Suppliers that source goods, materials, or services internationally must take reasonable steps to ensure that their own suppliers, at every tier of their supply chain, uphold standards consistent with this Code, including those relating to forced labour, child labour, human rights, and environmental responsibility.
This Code confirms the principles the Company expects to govern every business relationship with its Suppliers. To promote transparency and accountability, this Code is publicly available on the Company's website at www.acemaxreno.com.
2. Definitions
• Company: Acemax Renovation Corp. and its divisions, affiliates, officers, employees, and authorized representatives.
• Supplier(s): any subcontractor, trade contractor, material supplier, vendor, consultant, or other service provider engaged, directly or indirectly, to supply goods or perform work in connection with a Company project, including all lower-tier subcontractors and sub-suppliers, wherever located.
• International Supplier: a Supplier, or sub-supplier at any tier, located or operating outside Canada that supplies goods, materials, or services, directly or indirectly, in connection with a Company project. International Suppliers and their own supply chains are subject to this Code to the same extent as domestic Suppliers.
• Worker(s): any individual employed, contracted, or otherwise engaged by a Supplier to perform work, including foreign, migrant, and temporary workers.
• Project Site: any commercial or residential property, job site, or workspace where a Supplier performs work on behalf of the Company.
• Child Labour and Forced Labour: as defined under the Fighting Against Forced Labour and Child Labour in Supply Chains Act (Canada), as amended from time to time.
• Applicable Laws: all federal, provincial, and municipal statutes, regulations, codes, and by-laws applicable to the performance of the work, including those of the jurisdiction in which goods are manufactured or sourced.
3. Application and Adoption
This Code applies to all Suppliers engaged by the Company on any project, regardless of trade, project size, duration of engagement, or location, including international Suppliers and their own sub-suppliers. Recognition and acceptance of this Code is a mandatory precondition of doing business with the Company: the Company will not award, and will not continue, any subcontract, purchase order, or work order to a Supplier that does not recognize and accept the requirements of this Code. By accepting a subcontract, purchase order, or work order from the Company, a Supplier agrees to comply with this Code.
Supplier Responsibilities
• Communicate the requirements of this Code to all workers and lower-tier subcontractors, in a language they understand, before work begins.
• Maintain a confidential and non-retaliatory process for workers to raise concerns or report suspected violations of this Code.
• Not discipline, dismiss, or otherwise retaliate against any worker for raising a concern in good faith under this Code.
• Notify Acemax Renovation Corp.'s project manager or contract administrator promptly, and in writing, upon becoming aware of any actual or suspected non-compliance with this Code by the Supplier or any of its lower-tier subcontractors.
Acemax Renovation Corp. will generally work collaboratively with Suppliers to understand and remedy instances of non-compliance. Where a Supplier is unable or unwilling to comply, Acemax Renovation Corp. reserves the rights described in Section 10 (Monitoring, Compliance, and Enforcement).
4. Health and Safety
Health and safety are the Company's highest priority on every project site. Suppliers must plan and perform all work so as to protect their own workers, other trades, Company personnel, and members of the public, including occupants of residential properties under renovation.
4.1 Legal Compliance
• Full compliance with the Ontario Occupational Health and Safety Act (OHSA) and Regulation for Construction Projects (O. Reg. 213/91).
• Active participation in the Internal Responsibility System, including immediate reporting of unsafe conditions, near misses, and incidents to the Company's site representative.
• Compliance with all applicable municipal building, fire, and electrical codes and by-laws, and possession of all permits and inspections required before work proceeds.
4.2 Training, Licensing, and Credentials
• All on-site personnel must hold valid, current safety training and certifications applicable to their work, which may include Working at Heights, WHMIS 2015, First Aid/CPR, and confined space entry.
• All tradespersons must hold the trade licences and certificates of qualification required by Skilled Trades Ontario and any other applicable licensing body, and must provide proof of these credentials upon request.
• Workers performing designated substance work (e.g., asbestos, lead, silica) must hold the specific training required by O. Reg. 278/05 and related regulations.
4.3 Site Conduct and Equipment
• Suppliers must supply, maintain, and enforce the use of CSA-approved personal protective equipment (PPE) appropriate to the task.
• Equipment, tools, ladders, and scaffolding must be maintained in safe working order and inspected in accordance with manufacturer and regulatory requirements.
• On residential and occupied commercial sites, Suppliers must take reasonable precautions to protect occupants and the public, including site containment, signage, and secure storage of tools, materials, and hazardous substances when not in use.
4.4 Workplace Violence and
Harassment
• Zero tolerance for workplace violence, harassment, or discrimination, consistent with OHSA's workplace violence and harassment provisions.
• Suppliers must ensure a respectful work environment in all interactions with Company personnel, other trades, and members of the public at or near the Project Site.
4.5 WSIB Coverage
• Suppliers must maintain valid, clear Workplace Safety and Insurance Board (WSIB) coverage for all workers and must provide a valid WSIB Clearance Certificate before starting work and upon request thereafter.
• Where a Supplier is exempt from WSIB coverage, it must provide equivalent proof of insurance acceptable to the Company.
5. Labour and Human Rights
Suppliers must treat all workers with dignity and respect and uphold their fundamental labour and human rights.
5.1 Employment Standards
• Full compliance with the Ontario Employment Standards Act, 2000 (ESA), including minimum wage, hours of work, overtime, vacation pay, public holidays, and rest periods.
• Workers must receive wages directly, or to an account of their choosing, without unauthorized deductions or recruitment fees.
• Where required, workers must be provided a written statement of the terms of their engagement in a language they understand.
5.2 Human Rights and Non-Discrimination
• Strict compliance with the Ontario Human Rights Code. Suppliers must provide a workplace free from discrimination or harassment based on race, ancestry, place of origin, colour, ethnic origin, citizenship, creed, sex, sexual orientation, gender identity, gender expression, age, marital status, family status, or disability.
• Hiring, promotion, discipline, and termination decisions must be based on merit and job requirements, not on any protected ground.
5.3 Freedom of Association
• Suppliers must respect workers' lawful rights to associate, organize, and bargain collectively, without interference, intimidation, or retaliation.
5.4 Forced Labour and Human Trafficking
• Absolute prohibition of forced, bonded, indentured, or compulsory labour, and of human trafficking in any form.
• Suppliers must not retain workers' identity documents, passports, or work permits, or charge workers recruitment fees as a condition of employment.
• Suppliers must comply with the Fighting Against Forced Labour and Child Labour in Supply Chains Act (Canada) and must not supply goods produced, in whole or in part, by forced or compulsory labour.
5.5 Child Labour
• Absolute prohibition of child labour. All workers must meet the minimum age required by Applicable Laws, and no worker under 18 may perform hazardous work, including work at heights, with dangerous machinery, in confined spaces, or involving exposure to hazardous materials.
5.6 Grievance Mechanism
• Suppliers must provide workers with a confidential means of raising workplace concerns to management without fear of reprisal, and must inform workers of the Company's own reporting channel described in Section 9.
6. Environmental Responsibility
The Company is committed to sustainable construction and renovation practices and expects Suppliers to minimize the environmental impact of their work.
• Compliance with all regulations enforced by the Ontario Ministry of the Environment, Conservation and Parks (MECP), including those governing air, water, and soil quality.
• Minimizing construction and demolition waste, separating recyclable and reusable materials on site, and complying with Ontario Regulation 102/94 (Waste Audits and Waste Reduction Work Plans) where applicable.
• Safe identification, handling, storage, transport, and disposal of hazardous materials, designated substances, and contaminated soils, with complete supporting documentation (e.g., Safety Data Sheets, waste manifests, disposal receipts) provided to the Company upon request.
• Taking reasonable steps to reduce energy, water, and fuel consumption during project execution, and to limit noise, dust, and disruption to occupants and neighbouring properties.
• Sourcing materials responsibly and, where practicable, favouring suppliers and products with a reduced environmental footprint.
7. Quality, Workmanship, and Project Integrity
As a general contractor serving commercial and residential clients, the Company's reputation depends on the quality and integrity of work performed by its Suppliers.
• Perform all work in accordance with the applicable design documents, specifications, manufacturer instructions, and the Ontario Building Code.
• Hold all licences, certifications, and insurance (including commercial general liability) required for the scope of work, and provide proof upon request.
• Promptly disclose to the Company any defects, code violations, or safety concerns identified in the course of the work, whether or not caused by the Supplier.
• Honour agreed project schedules and promptly notify the Company of any anticipated delay, and cooperate with the Company and other trades to minimize disruption to clients and occupants.
• Provide warranties for materials and workmanship as required by the subcontract and stand behind the quality of work performed.
8. Ethics and Business Integrity
8.1 Anti-Corruption
• Zero tolerance for bribery, kickbacks, extortion, or other corrupt practices. Suppliers must not offer gifts, hospitality, or other benefits to Company employees or their family members intended to influence a business decision.
8.2 Conflicts of Interest
• Suppliers must disclose to the Company any actual, potential, or perceived conflict of interest, including any personal or financial relationship between the Supplier's personnel and a Company employee that could influence procurement, bidding, or project oversight.
8.3 Fair Competition
• Compliance with Canadian competition law. Suppliers must not engage in bid-rigging, price-fixing, market allocation, or the sharing of competitively sensitive information with other bidders.
8.4 Confidentiality, Data Privacy, and Intellectual Property
• Suppliers must safeguard the Company's and its clients' confidential information, drawings, specifications, and proprietary data, and must not use or disclose it except as necessary to perform the work.
• Suppliers must respect the privacy of residential occupants and commercial tenants encountered while performing work, and must not photograph, record, or disclose information about a client's property without authorization.
8.5 Accurate Representations
• Suppliers must submit bids, invoices, and reports that are honest, accurate, and complete, and must not misrepresent qualifications, materials, or work performed.
9. Reporting Concerns
Suppliers and their workers are encouraged to report, in good faith, any suspected violation of this Code without fear of retaliation. Reports may be made to the Company's project manager, contract administrator, or [Insert Company Reporting Channel/Email/Phone Number]. The Company will treat reports as confidentially as possible and will not tolerate retaliation against anyone who raises a concern in good faith.
10. Monitoring, Compliance, and Enforcement
• Acemax Renovation Corp. reserves the right to audit Suppliers, inspect Project Sites, and review documentation (including safety, WSIB, licensing, and environmental records) to verify compliance with this Code.
• Suppliers must alert the Company as soon as they become aware that they, or one of their lower-tier subcontractors, are not in compliance with this Code.
• Where a Supplier is not in compliance, the Company will generally seek to work with the Supplier to understand the circumstances and support a path to compliance.
• Where a Supplier is unable or unwilling to comply, the Company reserves the right to take appropriate action, which may include requiring corrective measures, suspending work, removing personnel from the Project Site, withholding payment as permitted by the subcontract and Applicable Law, terminating the subcontract, and disqualifying the Supplier from future work with Acemax Renovation Corp..
• A Supplier must not advertise or represent that it is “certified” or “approved” under this Code.
11. Supplier / Subcontractor Acknowledgment and Sign-Off
By signing below, the undersigned confirms that they are an authorized representative of the Supplier, have read and understood this Code of Conduct, and agree, on behalf of the Supplier, to comply with it and to take reasonable steps to ensure that the Supplier's employees and lower-tier subcontractors do the same.
